Dear all,

Nationalist Governments are already joining forces.

They just met in Warsaw with Orbàn and Le Pen for a plan to tear Europe apart.
Pro-European governments don't seem an alternative strong enough, being dominated by the short-term nation-centered electoral policy.

Citizens are needed, united by long-term objectives pursued through the activation of participatory democracy.

EUMANS is the organization we want to create for that purpose. The path to follow will be discussed on the occasion of the quarterly EUMAS Members Assembly on Thursday December 16, from 6 PM to 8.30 PM CET with interpretation in English and Italian, and open to everyone.

"The aim of the Association is to promote the establishment of EUMANS! as a pan-European Movement of popular and nonviolent initiatives, which has among its objectives the defense of human rights and fundamental freedoms, the affirmation of the rule of law and democracy, the protection of the ecosystem and sustainable development". (art. 2, Eumans' provisional Statute).

The Agenda for Thursday the 16th discussion is about pan-European campaigns to be launched on the occasion of the first EUMANS Congress in Warsaw (yes, we too in Poland!), on March 11 and 12, on issues such as climate change, cannabis, euthanasia, reproductive rights, the activation of democracy while the Conference on the future of Europe still lacks to deliver on concrete proposals of EU reforms).

@Lorenzo Mineo as EUMANS administrator published some amendments to the Statute that we would need to consider during the Assembly. Please find the translation of what he originally published here;

As our quarterly Assembly approaches, I propose some statutory changes.

In order, the provisions that I propose to modify are:

BUDGET / REPORT

to art. 5 reference is made to "financial statements":
The Assembly by majority elects the President and approves the budget. in Article 8, paragraph 2, reference is made to "financial statements":
The Administrator guarantees maximum transparency and awareness of the activities carried out also through the publication of the financial statements on the website www.eumans.eu.

The term "budget" is incorrect and would provide for very onerous obligations towards the Revenue Agency, and in any case not required by law. It would be appropriate to replace it in "annual economic-financial report"

Proposed statutory amendment:
in Article 5 of the Articles of Association, the word "budget" is replaced by the words "annual economic-financial report"

in Article 8, paragraph 2 of the Articles of Association, the word "financial statements" is replaced by the words "annual economic-financial reports"

ANNUALITY OF REGISTRATION
The resolution of the shareholders' meeting of 8/9/2020 sets the annual registration fee at 73 euros and adds as a requisite to be able to vote at the meeting that they have paid at least 73 euros in the last 12 months.
The result is a management burden on verifying the possibility of voting by the single member on the basis of his / her registration date which is particularly complex, and which also penalizes the registration campaign, requiring to constantly check the registration date of each one in order to be able to request him / her to registration.
When we have a significantly larger pool of subscribers and an automated system on individual registration dates, this provision may have a reason for being. At present, I believe it is an unnecessary administrative burden, therefore we should identify an annual registration fee.

Proposed statutory amendment:
"Art. 1 bis - Financial year
The membership is held annually and closes by October 31 of each year. "

SUBSCRIPTION FEE:
If we introduce a change in the annuality of registration as proposed above, it will be necessary to specify the annual registration fee in a resolution, having changed the type of registration.

Proposal for a shareholders' resolution:
"The assembly sets the annual registration fee at 73.00 euros"

4) MEMBERS
Currently, the deed of incorporation is incorrectly mentioned as a document to be signed to become a member, together with the payment of the annual fee. Technically, the deed of incorporation is signed only by the founders, therefore it would be appropriate to amend Article 3 (Shareholders) of the Statute.

Proposed statutory amendment:
Article 3 of the statute is replaced by the following article:
"Art. 3 - Members
A member is the one who pays the annual registration fee set by the Assembly "

These are the changes that I will propose on Thursday, some simple formal corrections, other revisions in the light of a year of experience as an administrator. I place them here for your attention to be informed before voting in the assembly.
